Our Business Approach

Clear Scope. Clear Communication. Clear Expectations.

We aim to keep our service terms practical and transparent. Specific project requirements, pricing, deliverables and timelines may be confirmed separately in proposals, quotations, statements of work or other written agreements.

Terms That Help Define Our Working Relationship

Please read these Terms & Conditions carefully before using our website or engaging Sohna Spark Digital for services.

01

Introduction

These Terms & Conditions ("Terms") govern your use of the Sohna Spark Digital website and your interactions with Sohna Spark Digital ("Sohna Spark Digital", "we", "us" or "our").

By accessing or using our website, submitting an enquiry, requesting a consultation, approving a proposal, or engaging us for services, you agree to these Terms to the extent applicable to your interaction with us.

Where a separate written proposal, quotation, statement of work, service agreement or other project-specific document has been agreed with you, that document may contain additional terms applicable to the relevant engagement.

02

You may use our website only for lawful purposes and in a manner that does not interfere with the operation, security or availability of the website.

  • You must not attempt to gain unauthorised access to the website or its systems.
  • You must not knowingly introduce malicious code, harmful files or other disruptive material.
  • You must not use our website to violate applicable law or the rights of others.
  • You must not copy, reproduce or commercially exploit website content without appropriate permission.
04

Enquiries & Free Consultations

Website enquiries, WhatsApp conversations, calls, emails and free consultations are intended to help us understand your requirements and determine whether our services may be suitable for your business.

A consultation or enquiry does not automatically create a service engagement. Work begins only after the relevant scope, commercial terms and required approvals have been agreed.

05

Proposals & Quotations

Where applicable, we may provide proposals, quotations or other commercial documents describing services, deliverables, pricing and estimated timelines.

Unless otherwise stated in writing, proposals and quotations are subject to the assumptions, scope and validity period stated in the relevant document.

Important: A proposal or quotation does not require us to begin work until it has been accepted and any required advance payment or onboarding requirements have been completed.

06

Scope of Work

Services are delivered according to the agreed scope. Deliverables, inclusions, exclusions, number of revisions, timelines and dependencies may vary by project.

Requests outside the agreed scope may require additional fees, time or a separate agreement.

07

Project Timelines

Any project timeline communicated by Sohna Spark Digital is generally an estimate unless a specific completion date has been expressly agreed in writing.

Timelines may depend on timely receipt of content, approvals, credentials, feedback, payments, third-party services and other client or platform dependencies.

08

Client Responsibilities

Clients are responsible for providing accurate information, required materials, approvals and access necessary for the agreed work.

  • Provide accurate business information and requirements.
  • Provide necessary website, hosting, domain, advertising, social or Google account access where required.
  • Provide content, images, brand assets and other materials in a timely manner.
  • Review deliverables and provide clear feedback or approvals.
  • Maintain the security of credentials and account access supplied to or used by the client.
09

Website Development Terms

Website projects may include design, development, WordPress implementation, responsive layouts, basic on-page SEO setup, forms, integrations and other features depending on the agreed scope.

Domain registration, hosting, premium plugins, themes, stock assets, third-party tools, paid integrations, maintenance or ongoing support may be separately chargeable unless expressly included in the agreed scope.

Third-party software, plugins, hosting providers and integrations may change their features, pricing, compatibility or availability independently of Sohna Spark Digital.

10

SEO Services

SEO services may include keyword research, on-page optimisation, technical recommendations, content strategy, local SEO, Google Business Profile optimisation and other agreed activities.

SEO depends on search engines, competitors, websites, content, technical factors and other external variables. We do not guarantee specific rankings, traffic levels, leads, sales or other business outcomes.

11

Local Search Visibility

Local SEO and Google Business Profile services are intended to improve the accuracy, relevance and visibility of a business's online local presence.

Google and other platforms control their own ranking systems, policies, features and search results. Changes made by these platforms may affect visibility independently of our work.

No ranking guarantee: We do not promise a particular Google Maps position, local pack placement, search ranking, number of calls, direction requests or customer enquiries.

12

Advertising & Campaign Management

Advertising services may include campaign planning, account setup, targeting, ad creation, optimisation, monitoring, reporting and related activities for platforms such as Google Ads and Meta Ads.

Advertising budgets paid to Google, Meta or another advertising platform are generally separate from Sohna Spark Digital service fees unless expressly stated otherwise.

13

No Guaranteed Advertising Results

Advertising performance may be affected by budget, competition, audience demand, offer quality, landing pages, tracking, seasonality, platform policies and many other factors.

We do not guarantee a particular number of leads, sales, enquiries, return on advertising spend, conversion rate, impressions, clicks or other advertising outcome unless expressly agreed in a separate written arrangement.

14

Social Media Management

Social Media Management may include content planning, creative coordination, captions, posting, scheduling, basic engagement management, platform management and related organic social activities according to the agreed scope.

Social media platforms may change algorithms, features, policies, reach, account functionality or content distribution without notice. We do not guarantee a particular follower count, reach, engagement level, viral performance, leads or sales.

15

WhatsApp Marketing & Customer Communication

WhatsApp Marketing services may include campaign planning, message content, customer follow-up, broadcast support, engagement workflows and related communication activities where included in the agreed scope.

Clients are responsible for ensuring that their customer lists, contact information, communications and marketing activities are collected and used lawfully and with any required permissions or consents.

WhatsApp, Meta and other communication platforms may impose their own policies, limitations, verification requirements or messaging restrictions. We do not control third-party platform decisions.

16

Third-Party Platforms & Services

Our services may depend on third-party platforms and services including Google, Meta, WhatsApp, WordPress, hosting providers, domain registrars, analytics tools, plugins, APIs and other technology providers.

We are not responsible for outages, policy changes, account suspensions, pricing changes, technical failures, feature removals, algorithm changes or other actions taken by third-party providers.

Any third-party subscription, advertising spend, software licence, domain, hosting, plugin, stock asset or external service cost is the client's responsibility unless specifically included in the agreed scope.

17

Fees & Payment Terms

Service fees, payment schedules, taxes where applicable and other commercial terms will be communicated in the relevant proposal, quotation, invoice or agreement.

Work may be scheduled or commenced only after any required advance payment or agreed onboarding requirements have been completed.

Unless otherwise agreed in writing, third-party costs and advertising budgets are separate from professional service fees.

18

Overdue Payments

Where an invoice remains unpaid beyond the agreed payment date, Sohna Spark Digital may pause work, delay deliverables, restrict access to work in progress or suspend services until the outstanding amount is resolved.

Any consequences relating to overdue payments will remain subject to the specific commercial terms agreed for the relevant project.

19

Refund & Cancellation Policy

Refunds, cancellations, project discontinuation and related matters are governed by our separate Refund & Cancellation Policy, together with any project-specific commercial terms agreed in writing.

Please review our Refund & Cancellation Policy before engaging our services.

20

Revisions & Changes

The number of revisions included in a project will depend on the agreed scope.

Additional revisions, changes after approval, new requirements or substantial changes to the original brief may require additional fees or time.

Changes requested after implementation or launch may also be treated as additional work where they fall outside the agreed scope.

21

Client Approval

Where client approval is required, the client is responsible for reviewing and approving the relevant content, designs, advertisements, website pages, campaigns or other deliverables.

Once a deliverable has been approved, subsequent changes may be treated as additional work depending on the project scope.

22

Intellectual Property

Ownership or usage rights for final deliverables will depend on the agreed scope, payment status, third-party licences and any applicable project agreement.

Third-party assets, software, plugins, fonts, stock images, templates, platform tools and other licensed materials remain subject to their respective licence terms.

Unless otherwise agreed, internal methods, processes, working files, templates, systems, know-how and reusable resources used to provide services remain the property of Sohna Spark Digital.

23

Client-Supplied Content

Clients are responsible for ensuring that content, images, logos, videos, text, testimonials, customer data and other materials supplied to us can lawfully be used for the intended purpose.

The client is responsible for obtaining any necessary permissions, licences, releases or consents relating to materials they provide.

24

Portfolio & Marketing Use

Subject to applicable confidentiality obligations, non-disclosure agreements and any written restrictions agreed with the client, Sohna Spark Digital may reference completed work for portfolio, presentation or general marketing purposes.

We will not knowingly disclose confidential information that we are contractually required to keep confidential.

If a client requires a project to remain confidential or not be publicly displayed, this should be communicated and agreed in writing.

25

Marketing Results & Expectations

Digital marketing outcomes vary between businesses. Results may depend on the client's market, competition, pricing, offer, website, customer experience, budget, demand, platform changes and many other factors.

Any examples, estimates, projections or discussions about possible outcomes are illustrative unless expressly stated otherwise in a written agreement.

No unrealistic promises: We aim to provide practical recommendations and professional services, but we do not guarantee specific business outcomes unless expressly agreed in writing and legally permitted.

26

Website Availability

We aim to keep our website and digital services available and functional, but we do not guarantee uninterrupted or error-free availability.

Temporary interruptions may occur because of maintenance, hosting issues, technical failures, security events, third-party services, internet connectivity or circumstances beyond our reasonable control.

27

Privacy & Personal Information

Personal information submitted through our website, enquiry forms, email, WhatsApp or other communication channels may be handled in accordance with our Privacy Policy and applicable privacy and data-protection requirements.

Clients are responsible for ensuring that personal information or customer data supplied to us for service delivery has been collected and shared lawfully and that they have any permissions or authorisations required for the intended use.

Where applicable, project-specific agreements may contain additional provisions relating to access, confidentiality, data handling or security.

28

Confidentiality

We will take reasonable steps to treat non-public business information shared with us for the purpose of providing services as confidential, subject to applicable law and the terms of any separate confidentiality or non-disclosure agreement.

Confidentiality obligations do not generally apply to information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law or lawful authority.

29

Limitation of Liability

To the maximum extent permitted by applicable law, Sohna Spark Digital will not be responsible for indirect, incidental, consequential, special or business losses arising from the use of our website or services, including loss of profits, revenue, opportunities, data or expected business outcomes.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is not permitted under applicable law.

Any liability relating to a specific project may also be governed by the applicable written agreement or statement of work.

30

Indemnification

To the extent permitted by applicable law, a client may be responsible for losses, claims, liabilities or expenses arising from unlawful use of materials supplied by the client, infringement caused by client-provided materials, misuse of services, or violation of these Terms.

This provision does not apply where responsibility arises from matters that cannot lawfully be attributed to the client.

31

Suspension or Termination

Either party may end a service engagement according to the terms agreed for the relevant project.

Sohna Spark Digital may suspend or terminate services where there is non-payment, serious misuse, unlawful activity, abusive behaviour, material breach of agreed terms or another legitimate reason, subject to applicable law and any project-specific agreement.

Amounts properly due for work already completed or approved third-party costs may remain payable following termination.

32

Force Majeure

We will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, widespread internet or infrastructure failures, cyber incidents, government actions, platform outages, labour disruptions, public emergencies or other events that could not reasonably be prevented or controlled.

33

Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, business practices, website or applicable requirements.

The updated version will be published on this page with a revised "Last Updated" date. Continued use of the website after an update may constitute acceptance of the updated Terms to the extent permitted by applicable law.

34

Governing Law & Jurisdiction

These Terms are intended to be governed by the laws of India, subject to applicable mandatory legal provisions.

Subject to applicable law and any valid project-specific dispute-resolution provision, disputes arising in connection with these Terms or our services may be subject to the jurisdiction of the competent courts having jurisdiction over the relevant matter in Haryana, India.

35

Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the extent necessary where legally possible, and the remaining provisions will continue to operate to the extent permitted by law.

36

Entire Agreement & Project-Specific Agreements

These Terms provide the general framework for use of our website and services.

Where a separate proposal, quotation, statement of work, service agreement or other written agreement has been accepted for a specific project, that document may contain additional or more specific terms governing that project.

If there is a conflict between these general Terms and a valid project-specific written agreement, the project-specific agreement will generally govern the relevant project to the extent of the inconsistency.

37

Waiver & No Partnership

A failure or delay by either party in enforcing a provision of these Terms does not automatically constitute a waiver of that provision or any other right.

The provision of services by Sohna Spark Digital does not create a partnership, joint venture, employment relationship or agency relationship between Sohna Spark Digital and the client unless expressly agreed in writing.

38

Survival

Provisions that by their nature are intended to continue after completion, suspension or termination of services may continue to apply, including provisions relating to payments, intellectual property, confidentiality, limitations of liability, indemnification and other applicable rights or obligations.
